These terms apply to quotations, samples, orders and use of this website. For a specific order, the signed proforma invoice or contract prevails if it conflicts with these terms.

Quotations are prepared against the specification, quantity and delivery requirement you provide. Unless stated otherwise, a quotation is valid for 30 days. Prices may change if raw-material costs, exchange rates, specification, quantity or delivery terms change before an order is confirmed.
The buyer is responsible for providing complete and accurate specifications, artwork, colour references, size requirements, packaging instructions and market compliance requirements. We produce samples against the approved specification. A sample is not an approval to produce a different specification, and bulk production is based on the approved specification and signed sample.
Where the buyer supplies artwork, trademarks or designs, the buyer confirms that it has the right to use them and that they do not infringe a third party's rights.
An order becomes binding when we accept a written purchase order or proforma invoice (PI) and receive the agreed deposit. The PI records the product, specification, quantity, price, Incoterm, payment terms, lead time, packaging and shipping details. Changes requested after confirmation may affect price and lead time.
Unless otherwise agreed in writing, we retain ownership of our product designs, patterns, technical drawings, samples and manufacturing know-how. Buyer-provided designs remain the buyer's property. Neither party may use the other party's name, logo or confidential information for public marketing without written permission.
Delivery dates are estimates based on the information available when the order is confirmed. Delivery terms follow the agreed Incoterms (for example EXW, FOB, CIF or DDP). Risk passes as provided by that Incoterm. Partial shipments and minor quantity variations may be allowed where the nature of the product requires it.
Payment terms are stated on the PI. We accept bank transfer (T/T) and, where agreed, a letter of credit. We do not collect card payments through this website. Bank details are provided on the PI; always verify them with us before transferring money.
The buyer should inspect goods promptly after delivery. Claims for visible defects or short shipment must be notified within 7 days of receipt; latent defects must be notified within 30 days of receipt, or within any longer period required by mandatory law. We may ask for photographs, inspection reports or return of samples. Our remedies are repair, replacement or credit, at our reasonable discretion. This section is subject to our Return Policy.
To the extent permitted by law, our liability for an order is limited to the value of the goods supplied under that order. We are not liable for indirect or consequential loss, loss of profit, loss of market or loss caused by the buyer's specification, artwork or misuse. Nothing in these terms excludes liability that cannot be excluded by law.
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, government action, port closures, strikes and serious supply-chain disruption. The affected party will notify the other and the parties will discuss a reasonable adjustment.
Each party will keep the other's non-public technical, commercial and pricing information confidential and use it only for the purpose of the business relationship, unless disclosure is required by law.
These terms are governed by the laws of the People's Republic of China. The parties will first try to resolve a dispute through good-faith discussion. If it cannot be resolved, the dispute may be submitted to the competent court in Hangzhou, Zhejiang, China, unless the parties have agreed otherwise in writing.
